1. Binding Agreement

These Terms constitute a legally binding agreement between you (“User”) and Cerasia Consulting Pte Ltd, a Singapore company (“HausSnaps,” “we,” “us,” “our”).

By accessing or using the Services, you:

• Agree to these Terms

• Waive certain legal rights

• Agree to dispute limitations described herein

If you do not agree, you must not use the Services.

2. Nature of the Service

HausSnaps provides AI-powered image enhancement and digital staging tools.

The Services:

• Modify images algorithmically

• Generate artificial or enhanced representations

• Are intended for visual marketing purposes only

The Services do NOT provide:

• Real estate valuation

• Architectural advice

• Structural advice

• Engineering advice

• Regulatory compliance advice

• Building safety assessments

• Legal advice

Outputs are synthetic representations.

3. No Reliance

You expressly acknowledge and agree:

• AI-generated outputs may contain inaccuracies

• Outputs may depict features not present in reality

• Outputs are not factual representations

• You will not rely on outputs for legal, regulatory, safety, engineering, construction, appraisal, or financial decisions

You assume full responsibility for any use of outputs in listings, marketing, advertising, or representations to third parties.

4. User Responsibility & Legal Compliance

You are solely responsible for:

• Ensuring compliance with real estate advertising laws

• Disclosing staging where legally required

• Ensuring outputs do not mislead

• Ensuring you have rights to uploaded content

• Ensuring compliance with local, state, federal, and international laws

HausSnaps does not monitor or verify legal compliance of your use.

5. User Content & License

You retain ownership of uploaded content.

You grant HausSnaps a limited, worldwide, non-exclusive license to:

• Store temporarily

• Process

• Modify

• Generate derivative outputs

• Transmit to AI processors

Solely to provide the Services.

You represent and warrant that:

• You have full legal rights to upload the content

• You have obtained necessary consents

• The content does not infringe rights

6. AI Risk Allocation

You acknowledge:

• AI systems operate probabilistically

• Outputs may be incorrect, unrealistic, or flawed

• AI may generate unexpected results

You accept all risk associated with reliance on AI outputs.

HausSnaps disclaims responsibility for:

• Misrepresentation claims

• Property disputes

• Buyer reliance

• Tenant reliance

• Regulatory investigations

• Professional negligence claims

7. Prohibited Uses

You may not use the Services to:

• Commit fraud

• Misrepresent property conditions

• Conceal structural defects

• Fabricate legal compliance

• Impersonate ownership

• Infringe intellectual property

• Upload illegal content

Violation may result in immediate termination without refund.

8. Subscriptions & Fees

All payments are:

• Non-refundable except where required by law

• Processed via Apple or Stripe

• Subject to third-party platform terms

We are not responsible for billing errors by Apple or Stripe.

9. No Warranty

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAUSSNAPS DISCLAIMS:

• ALL WARRANTIES, EXPRESS OR IMPLIED

• MERCHANTABILITY

• FITNESS FOR A PARTICULAR PURPOSE

• NON-INFRINGEMENT

• ACCURACY

• RELIABILITY

• CONTINUOUS AVAILABILITY

• ERROR-FREE OPERATION

We do not warrant that:

• Outputs will meet expectations

• Outputs will be lawful in your jurisdiction

• Outputs will not infringe third-party claims

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

HAUSSNAPS SHALL NOT BE LIABLE FOR:

• INDIRECT DAMAGES

• CONSEQUENTIAL DAMAGES

• SPECIAL DAMAGES

• INCIDENTAL DAMAGES

• EXEMPLARY DAMAGES

• PUNITIVE DAMAGES

• LOSS OF PROFITS

• LOSS OF BUSINESS

• LOSS OF DATA

• REPUTATIONAL HARM

• THIRD-PARTY CLAIMS

TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED:

THE GREATER OF:

• SGD 100
  OR

• THE AMOUNT PAID BY YOU IN THE PRIOR 12 MONTHS

This applies regardless of legal theory, including contract, tort, negligence, strict liability, or otherwise.

11. Indemnification

You agree to indemnify, defend, and hold harmless HausSnaps, its directors, officers, employees, contractors, and affiliates from any claims, damages, liabilities, losses, costs, or expenses (including legal fees) arising from:

• Your use of the Services

• Your uploaded content

• Your publication of outputs

• Your violation of law

• Claims by property buyers, tenants, regulators, or third parties

• Alleged misrepresentation

• Intellectual property claims

This indemnity survives termination.

12. Third-Party Services

We are not responsible for:

• OpenAI systems

• Apple App Store

• Stripe

• RevenueCat

• AWS infrastructure

• Google Analytics

Your use of third-party services is at your own risk.

13. Service Modifications

We may:

• Modify features

• Limit usage

• Suspend access

• Terminate accounts

• Change pricing

At our discretion and without liability.

14. Termination

We may terminate access immediately for:

• Breach of Terms

• Legal risk

• Fraud risk

• Abuse of the platform

No refunds are guaranteed upon termination for breach.

15. Force Majeure

We are not liable for delays or failures caused by:

• AI provider downtime

• Cloud outages

• Cyberattacks

• Government actions

• Natural disasters

16. Governing Law

These Terms are governed by the laws of Singapore.

Courts of Singapore have exclusive jurisdiction.

17. Arbitration

For users in the United States:

You agree to resolve disputes through binding arbitration on an individual basis.

You waive:

• Jury trials

• Class actions

• Representative actions

This clause reduces US litigation exposure.

18. Severability

If any provision is found unenforceable, the remainder remains in effect.

19. Entire Agreement

These Terms constitute the entire agreement between you and HausSnaps.

21. Listing Disclosure & Representation Obligations

21.1 Mandatory Disclosure Responsibility

If you use, publish, distribute, or display any image generated, enhanced, modified, or staged through the Services in connection with:

• Property listings

• Real estate marketing

• Rental listings

• Commercial property promotions

• Advertising materials

• Brochures

• Online marketplace listings

• MLS systems

• Social media promotions

You are solely and exclusively responsible for ensuring that:

1. All legally required disclosures are made in accordance with applicable laws, regulations, MLS rules, advertising standards, and industry codes.

2. Any digitally enhanced, altered, or AI-staged image is clearly disclosed where required by law or regulation.

3. No image is presented in a manner that could reasonably mislead a buyer, tenant, investor, regulator, or third party regarding:

   • Property condition

   • Structural integrity

   • Layout

   • Fixtures

   • Finishes

   • Views

   • Surroundings

   • Compliance status

HausSnaps does not monitor, review, or verify your disclosures and assumes no responsibility for your compliance with any real estate, advertising, consumer protection, or disclosure laws in any jurisdiction.

21.2 No Real-World Condition Representation

You acknowledge and agree that:

• AI-generated outputs may depict hypothetical, enhanced, cleaned, furnished, repaired, renovated, or otherwise modified visual representations.

• Such outputs do not represent actual, current, or guaranteed physical conditions of any property.

• The Services do not verify factual accuracy, structural safety, regulatory compliance, habitability, or legality of any property.

HausSnaps makes no representations or warranties that:

• Any depicted features exist in reality.

• Any depicted improvements are feasible or lawful.

• Any depiction reflects current property conditions.

• Any representation complies with local disclosure laws.

All responsibility for ensuring that images accurately reflect legal requirements and market standards rests solely with you.

21.3 Assumption of Risk

You assume all risks associated with:

• Publishing enhanced or staged images

• Third-party reliance on such images

• Claims of misrepresentation

• Regulatory investigations

• Professional disciplinary proceedings

• MLS penalties

• Buyer or tenant disputes

• Consumer protection claims

HausSnaps shall have no liability for any claim arising from or related to how you use, publish, distribute, or disclose AI-generated or enhanced images.

21.4 Mandatory Indemnification for Listing Claims

You agree to indemnify, defend, and hold harmless HausSnaps, its officers, directors, employees, contractors, and affiliates from and against any and all claims, demands, actions, investigations, penalties, fines, damages, losses, costs, and legal fees arising out of or relating to:

• Alleged misrepresentation in property listings

• Failure to disclose digital enhancement

• Alleged deceptive advertising

• Consumer protection violations

• MLS rule violations

• Regulatory enforcement actions

• Professional licensing complaints

• Third-party reliance on images

This indemnification obligation applies regardless of whether the claim alleges negligence, strict liability, statutory violation, or other legal theory.

This obligation survives termination of your account.

21.5 No Duty to Warn or Review

HausSnaps has no duty to:

• Review images prior to publication

• Verify listing accuracy

• Monitor regulatory compliance

• Provide legal advice

• Warn users of potential disclosure obligations

Compliance is solely your responsibility.

22. Marketing Use of User Content

22.1 Marketing License Grant

By uploading images to the Services, you grant HausSnaps a worldwide, perpetual, irrevocable, royalty-free, sublicensable, transferable license to use, reproduce, modify, adapt, publish, display, distribute, and create derivative works from:

• Uploaded images

• AI-enhanced images

• Digitally staged outputs

• Before-and-after comparisons

• Composite marketing visuals

For the purposes of:

• Marketing

• Advertising

• Demonstration of product functionality

• Investor presentations

• Website content

• Social media promotion

• Paid advertisements

• App store listings

• Public relations

• Case studies

• Portfolio displays

Across all current and future media formats.

22.2 Platforms Covered

This license expressly includes use across, without limitation:

• Instagram

• Facebook

• TikTok

• LinkedIn

• X (Twitter)

• YouTube

• Pinterest

• Threads

• Snapchat

• Website and landing pages

• App Store / Google Play listings

• Email marketing

• Digital and print advertising

And any successor platforms.

22.3 Modification Rights

HausSnaps may:

• Crop

• Resize

• Blur identifying details

• Add branding

• Add overlays

• Combine with other images

• Create before/after comparisons

For promotional purposes.

22.4 No Compensation

You acknowledge that:

• You will not receive compensation for marketing use

• No royalties are payable

• No additional approval is required for each use

22.5 Representations & Warranties

You represent and warrant that:

• You have full legal rights to grant this license

• The images do not infringe third-party rights

• You have obtained necessary consents from property owners or relevant parties

22.6 Waiver of Claims

To the maximum extent permitted by law, you waive any claims against HausSnaps relating to:

• Marketing use of your uploaded or generated images

• Alleged misuse of marketing visuals

• Moral rights (where waivable)

• Rights of publicity (to the extent applicable)

22.7 Opt-Out

If you do not wish for your images to be used for marketing purposes, you may opt out by emailing: marketing@haussnaps.com

Opt-out requests will apply prospectively.
